英文契約書の用語（単語編） (No.3) al-app

英文契約書翻訳に携わる中で、経験上、よく目にしたり、よく使われたり、または知っておいて損はないと思われる単語と用語について、契約書翻訳の観点から簡単な例文を作成してその用例（一部ですが）を見てみます。ここに記載してない単語、用例も多くあります。さらに詳しくお知りになりたい場合は、辞書、専門書をご覧ください。「単語」の範囲も、主に、いわゆる民事、特に契約書で良く使用されるものとしました。

allotment: 割当て、分配、分担額  allotment of shares（株式の割当て）

alter: 変更する，改める、改ざんする、

alteration: 変更（部分的）、改変、変造

alteration of articles of incorporation （定款の変更）、alteration of securities（有価証券変造）

alleviate: 罪を軽減する

alternative
二者択一、alternative plan（代替案）、alternative dispute resolution=ADR代替的紛争解決方法

amend: 修正する、改める、改正する

amendment: 変更、修正、改正、amendment of ａ count（訴因の変更）「modification」、「change」も使用されます。

「No modification or amendment of this Agreement shall be valid or binding unless made in writing and executed by the parties hereto.」（本契約の変更または修正は、本契約の両当事者より書面が作成され、署名される場合を除き、無効であり、法的な拘束力を有しない。）

amicable: 友好的な; 平和的な、円満な。amicable settlement（和解）‐「All disputes or differences which arise out of this Contract, it is to be settled by an amicable settlement between the parties hereto.」（本契約に起因する係争または紛争は、両者間の和解により解決されるものとする。）

amicus curiae: 法廷助言者

amnesty: 恩赦

amortization: 償却、債務の償還、amortization shares （株式の償却）、amortization term （償還期間、割賦償還期間）

amount: 総計、総額、総計〔いくらに〕なる。amount in controversy （訴額）、amount of damages（損害賠償額）、amount of redemption （償還額）、amount to be contributed （分担額）。

ancestor: 被相続人、先祖

Anglo-American Law :英米法

annexation: 付加、附合

announcement: 通達、通知、

annual shareholders meeting: 定時株主総会

annuity: 年金(経験的には、「pension」を使う場合が多いかも。例えば、Defined Contribution Pension Law（確定拠出年金法）)

answer: 回答書、答弁、抗弁、責任引受け、答弁する

answer in writing （答弁書）

antedate: 先日付

Anticipated acceptance: 満期引き受け

anticipation: 先制、予期、予想、事前行為、期限前に財産を取得したり処分したりすること、新規性がないこと（特許）

Anti-dilution (clause): 希薄化防止（条項）

Anti-Dumping Act: 反ダンピング法

antitrust laws: 独占禁止法＝反トラスト法

apparent agency: 表見代理

apparent authority : 表見代理的権限、外見上の権限

apparent representing director :表見代表取締役

appeal: 上訴、訴願、陳情

appeal to the supreme court （上告）

appearance: 出席、出現、出場、裁判所への出頭、応訴

appellant: 上訴人（下級審の審判を不服とし、上級審の審判を求める者，確定した判決の再審を求める者）

appellate court: 控訴裁判所、上訴裁判所、上訴審、第二審裁判所

appendix : 別紙、附属書類、付録

applicable articles of laws or ordinances: 罰条

applicable law : 準拠法、適用法

This Agreement shall be governed by and construed in accordance with the laws of Japan（本契約は、日本国の法律を準拠法として、これに従い解釈される）

application: 申請‐If the application is accepted（申請が受理された場合）、請求、適用、application of law（法律の適用）、申込み、株式の申込み、弁済の充当、出願－patent application（特許出願）、home country application（本国出願）international application（国際出願）その他、多くの分野でいろいろな場面で使われます。

apply: 適用する‐The following definitions apply to this Agreement（本契約には、以下の定義を適用する）apply mutatis mutandis （準用する）－The provision of the second sentence of the preceding paragraph shall apply mutatis mutandis to such case.（この場合においては、前項後段の規定を準用する。）この用語も、いろいろな場面で使われます。

appointed party: 選定当事者

appointment: 指名、任命－appointment and dismissal （任免）

appropriate: 適切な

apportionment: 分配、分割、配分、割当て

appraisal: 鑑定、評価、査定

appraiser: 鑑定人、評価人

appreciate: 弁識する、一般的には「認識する」、「感謝する」の意味

apprehension: 逮捕、捕捉

appropriation: 充当‐appropriation of performance（弁済の充当）、財産取得，割当て、Appropriation of Earnings Plan（利益処分案）目的の特定、流用・私用・盗用、（政府）歳出予算

approval: 承認、許可、認可、賛成、approval of board of directors （取締役会の承認）、approval of Diet （国会の承認）

appurtenance: 従物、附属物　Appurtenance shall be subject to the disposition of the principal.（従物は、主物の処分に従う）
